Rapid Product Creations (RPC)

Standard Terms
RPC is committed to supplying high quality components in short lead times. Our ability to deliver parts that meet expectations is dependent, in part, upon receiving clear and concise information from our clients. If required information is delayed delivery could be impacted.

Quoted Lead Time: Lead times quoted are estimated, not guaranteed. Delayed delivery of materials or correct information can impact our ability to deliver on time.

Pricing: All bids (quotations) submitted are based off information provided by the clients at the request for a quotation stage. All bids are valid for 30 days.

Purchase Order: RPC is not responsible for changes made on Purchase Orders that are not reflected already in the submitted quote. Additional work stated on the purchase order will be requoted on an amended quotation.

Client Supplied Data: RPC holds no responsibility for errors in the clients CAD model and/or drawing if one is supplied. RPC will do its best to review the CAD and inform the client of any errors prior to manufacture.

Client Delays: Client delays that impact the agreed upon delivery date will be the responsibility of the client. When these circumstances occur, RPC will work to provide a new delivery date which should be reflected in an updated Purchase Order. RPC will do all it can to achieve a date as close to the original date as possible, no guarantees are made.

Order Cancellations: Orders may be cancelled at any time. The Buyer assumes immediate liability for all materials, labor, work, and hours that have already been completed.

Quality Claims: All claims for nonconforming parts and material must be made within five (business?) days from receipt of the product at the client’s address. In order to receive credit for out of spec or faulty parts, the client must return all pieces to RPC at their expense.

Partners: RPC reserves the right to use partners domestically and overseas for any aspect of feasibility, quoting or manufacture. This includes, but is not limited to materials, hardware, finishing, and inspection. When unexpected costs occur, the client will be notified and charged accordingly on the invoice.

Shipping & Delivery: RPC is not responsible for damages or delays caused during shipping or production due to the following reasons: accidents, breakdowns, labor disputes, embargoes, acts of God, supplier delays, government restrictions, riots, or carrier delays. The client is responsible for the expense of unforeseen packaging or handling costs.

Taxes: All Federal, State, County or Municipal Authority Taxes, upon seller’s transfer and delivery of merchandise, shall be paid by the client unless collected by RPC at time of invoice.

Limited Liability: RPC liability is limited to the amount of each individual Purchase Order or Credit Card transaction. Under no circumstances will RPC be liable for any additional costs above the value of each individual purchase order.

Recovery of Costs: If any legal action or other proceeding is brought for the interpretation or enforcement of this agreement, or because of an alleged breach, default, or other dispute in connection with any provisions of this agreement, the agreement holding party (RPC) shall be entitled to recover reasonable attorney’s fees, whether for negotiation, trial, appellate, bankruptcy, or other services and other costs incurred in the action or proceeding, in addition to any other relief to which it or they may be entitled.

Governing Law: In situations where legal actions take place, ALL actions, filings, and proceedings must occur in the RPC home state of California.
